Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services provided by TweakMail ApS ("we", "us", "our"), a company registered in Copenhagen, Denmark (CVR number: [pending registration]). Our services are accessible via the domains launch.email, tweak.email, and tweakmail.com (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

  • "User" — any individual or entity that registers for and uses the Service.
  • "Content" — any text, images, templates, or data you upload, create, or transmit through the Service.
  • "Campaign" — an email or sequence of emails sent via the Service to your contacts.
  • "Contact" — a recipient whose email address you upload or collect through the Service.

3. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

4. Account Registration

You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at support@tweakmail.com if you suspect unauthorized access.

5. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk email (spam) or emails without valid recipient consent.
  • Violate the EU ePrivacy Directive (2002/58/EC) or Denmark's Marketing Practices Act (Markedsføringsloven).
  • Transmit malware, phishing content, or any harmful or deceptive material.
  • Harvest, scrape, or collect email addresses without lawful consent.
  • Infringe on intellectual property rights of any third party.
  • Distribute illegal content or content that violates applicable EU or Danish law.
  • Circumvent, disable, or interfere with security features of the Service.

We reserve the right to suspend or terminate accounts that violate this policy without notice.

6. Email Sending & Anti-Spam Compliance

When sending campaigns through the Service, you must comply with:

  • EU General Data Protection Regulation (GDPR) — Regulation (EU) 2016/679
  • EU ePrivacy Directive — Directive 2002/58/EC (as amended)
  • Danish Marketing Practices Act (Markedsføringsloven, LBK nr 866 af 15/06/2022)

You are solely responsible for obtaining and documenting valid consent from your Contacts before sending them marketing emails. All campaigns must include a working unsubscribe mechanism and your accurate sender identity.

7. Subscriptions & Payment

Certain features of the Service require a paid subscription. Payments are processed by Stripe and are billed in advance on a recurring basis (monthly or annually). All prices are displayed inclusive of applicable VAT where required by EU law.

You may cancel your subscription at any time through your billing portal. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for partial billing periods, except as required by applicable EU consumer protection law.

8. EU Right of Withdrawal

Under the EU Consumer Rights Directive (2011/83/EU), if you are a consumer within the EU/EEA, you have a 14-day right of withdrawal from the date of purchase. However, by using the Service immediately upon subscription, you acknowledge and consent that the digital service has been fully provided, and you waive your right of withdrawal to the extent permitted by Article 16(m) of the Directive.

If you have not used the Service during the withdrawal period, contact support@tweakmail.com within 14 days of purchase for a full refund.

9. Intellectual Property

The Service, including its design, code, trademarks, and underlying technology, is owned by TweakMail ApS and protected by Danish and EU intellectual property laws. You retain all rights to the Content you create or upload. By using the Service, you grant us a limited licence to process your Content solely to provide the Service to you.

10. AI-Generated Content

The Service may use artificial intelligence to generate suggestions, polish emails, or analyse deliverability ("AI Features"). AI-generated output is provided as-is and for informational purposes only. You are solely responsible for reviewing, editing, and approving any AI-generated content before use. We make no guarantees regarding the accuracy, completeness, or suitability of AI outputs.

11. Data Processing

When you use the Service to send emails to your Contacts, we act as a data processor on your behalf under the GDPR. You remain the data controller for your Contacts' personal data. Our processing activities are governed by our Privacy Policy. For enterprise customers requiring a formal Data Processing Agreement (DPA), contact us at support@tweakmail.com.

12. API Usage

The Service provides a REST API for programmatic access to event ingestion, suppression management, and integrations. By using the API, you agree to:

  • Keep your API key confidential and not share it with unauthorised parties. You are responsible for all activity under your API key.
  • Comply with the published rate limits. Sustained abuse of rate limits may result in temporary or permanent API key revocation.
  • Not use the API to circumvent suppression lists, send to suppressed addresses, or bypass anti-spam protections.
  • Ensure that any data submitted through the API (including delivery events and suppression entries) is accurate and lawfully obtained.

We may modify, deprecate, or discontinue API endpoints with at least 30 days' notice via the Service or email. API keys can be regenerated or revoked at any time from your Settings.

13. Data Warehouse Connections

The Service allows you to connect external data warehouses (currently Google BigQuery) to use your own data as merge fields in email campaigns ("Reverse ETL"). By connecting a data warehouse, you acknowledge that:

  • You grant the Service read-only access to the datasets, tables, and columns you explicitly select. We request only the bigquery.readonly OAuth scope.
  • Data is queried live at send time and is not stored, cached, or copied by the Service. This is a zero-copy architecture — your data never leaves your warehouse beyond the query response.
  • You are solely responsible for the content and lawfulness of data in your warehouse, including any personal data of your Contacts.
  • OAuth refresh tokens are stored encrypted (AES-256) and used solely to maintain your connection. You may revoke access at any time from your Settings or from your Google account.
  • If your warehouse contains personal data, you remain the data controller and must ensure you have a lawful basis for using that data in email campaigns.

14. Event Data & Suppressions

The Service records delivery events (delivered, bounced, opened, clicked, spam reports, unsubscribes, etc.) to provide analytics and maintain suppression lists. Event data is retained for the duration of your account and deleted within 30 days of account closure.

Suppression lists are maintained automatically based on delivery events and may also be managed manually or via the API. Suppressed addresses are excluded from future sends to protect your sender reputation and comply with anti-spam regulations. You may remove addresses from the suppression list at your discretion, but you assume responsibility for any deliverability consequences.

15. Service Availability & Limitation of Liability

We strive to maintain high uptime but do not guarantee uninterrupted availability. The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law (including the Danish Sale of Goods Act), our total liability to you for any claims arising out of or related to the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded under EU or Danish law, including liability for fraud or gross negligence.

16. Termination

You may delete your account at any time. We may suspend or terminate your access if you breach these Terms. Upon termination, your Content will be deleted within 30 days unless retention is required by law. You may request an export of your data before account deletion.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice within the Service at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

If you are a consumer within the EU/EEA, you also have the right to submit a complaint to the Danish Consumer Complaints Board (Nævnenes Hus) or use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
